Article 1 (Purpose)
The Program exists to "provide Partners with the Program Support for the Covered Products, and thereby help expand the range of products and services offered by both parties."
Article 2 (Types of Partners)
Five categories are defined: Distributor, ODM, ISV, System Integration, and Sensors & Devices.
Article 3 (Eligibility)
"Applicants must obtain DMP's approval through the application procedure in Article 4, appoint a contact person, and fall within one of the categories in Article 2." DMP may change the eligibility requirements on one month's notice.
Article 4 (Enrollment in the Program)
A company applies after accepting the Terms; submitting an application is deemed acceptance of them. DMP may decline an application in cases such as false statements, competition, or requirements not being met. An applicant is treated as a Partner from the date of the approval notice. "Participation does not guarantee any transactions or profit."
Article 5 (Covered Products and Program Support)
The Covered Products are Di1 SoC, Di1 Development Kit, Di1 SoM and Di1 Cam. Program Support comprises "technical and new-product information, training opportunities, free loans for evaluation, joint promotional programs, an inquiry desk, reciprocal links, and logo use under the prescribed conditions." Program Support does not guarantee any result.
Article 6 (Obligations of the Partner) / Article 7 (Cooperation of the Partner)
Endeavor to join campaigns, cooperate with surveys, and recommend the Covered Products to your own customers. Grant DMP reciprocal website links and logo use (non-exclusive, non-transferable).
Article 8 (Prohibited Acts)
"Unauthorized disclosure of provided data to third parties, breach of confidentiality, acts against public order and morals, defamation, infringement of intellectual property, property or privacy, altering information or building databases from it, interfering with operations, and damaging reputation are prohibited." Breaches may lead to revocation of eligibility and claims for damages.
Article 9 (Intellectual Property)
The Program grants Partners no intellectual property rights of DMP. Inventions made by one party alone belong to that party; joint inventions belong to DMP. Trademark use requires prior consent.
Article 10 (Limitation of Liability) / Article 11 (Confidentiality)
DMP gives no warranty and accepts no liability for nonconformity in respect of the Covered Products, information and the like, and is not liable for special or indirect damages or lost profits. Using confidential information for other purposes or disclosing it to third parties is prohibited, and that obligation survives the loss of partner status.
Articles 12 to 18
Personal information is handled under the Privacy Policy. Partner status may not be assigned. Eligibility may be revoked, and withdrawal procedures apply, in the prescribed circumstances. The Program confers no agency or distributorship status. Compliance with laws and anti-corruption apply. The Terms may be amended and the Program discontinued by the prescribed methods. Notices are given by email and other means.
Article 19 (Exclusive Jurisdiction) / Article 20 (Good-Faith Consultation)
Disputes are subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance. Anything not covered by the Terms is settled through good-faith consultation between the parties.
